These terms are between you and Onnen Solutions Ltd, a company registered in England and Wales (company number 17275906) whose registered office is at 71–75 Shelton Street, Covent Garden, London, WC2H 9JQ, United Kingdom ("Onnen", "we", "us" or "our"). They govern your purchase and use of ScreenSwytch, our Windows desktop application for arranging monitor layouts. By installing, activating or using ScreenSwytch, you agree to these terms. If you're deploying it for an organisation, you accept them on that organisation's behalf and confirm you're authorised to do so.
1. The licence we give you
We grant you a non-exclusive, non-transferable, revocable licence to install and run ScreenSwytch on the number of devices covered by your current, paid-for seat count (one seat = one device). Each device is activated with your licence key. You may not resell, rent, sublicense or redistribute the software, share your key beyond your seat count, or attempt to reverse-engineer, copy or circumvent its licensing and activation systems, except to the extent the law does not allow us to prevent it.
Each licence seat is for one device at a time. To move a seat to a different device, for example when retiring or replacing a PC, deactivate the old device first (in the app: Menu, then Licence, then "Deactivate this PC") to free the seat before activating it elsewhere. To prevent misuse, a seat cannot be reassigned to a different device more than once in any 24 hour period. If the number of devices activated on your licence ever exceeds the seats you've paid for, you have 10 days to add seats or deactivate devices to bring things back into line; after that, ScreenSwytch locks on every device on the licence until this is resolved.
ScreenSwytch needs to check in with our licence service from time to time to stay activated. If a device cannot reach the service for 7 days, it will lock until it can reconnect. Make sure your devices can reach https://api.screenswytch.co.uk; if you're on a managed network, you may need to allow or whitelist this address on any proxy or web filter.
2. Free trial
ScreenSwytch includes a free 7-day trial so you can evaluate it in full before paying. No payment details are needed to start the trial, and it does not turn into a paid subscription automatically — you only pay if you choose to buy a licence.
3. Price, payment and renewal
ScreenSwytch is sold as an annual subscription at £6 per device, per year. Unless we agree otherwise in writing:
- Payment is taken at checkout by card through our payment processor, Stripe. Prices are in GBP and are shown exclusive of VAT; any VAT or sales tax due is added at checkout based on your location and tax status.
- Your subscription renews automatically for successive twelve-month terms at the then-current price, until you cancel. You can cancel at any time from your account (via the Stripe billing portal) or by emailing us — see our Refund & Cancellation Policy.
- Adding seats mid-term is charged immediately, pro-rated for the rest of your term. Reducing seats takes effect at your next renewal.
- We may change our prices for future terms; a change never affects a term you've already paid for, and we'll give you reasonable notice before a renewal at a new price.
4. Your right to cancel (consumers)
If you're buying as a consumer (an individual, not for business), you normally have a legal right to cancel a purchase made online within 14 days. Because ScreenSwytch is digital content supplied immediately on activation, when you activate a paid licence within that period you ask us to start supplying it straight away and acknowledge that you then lose this 14-day cancellation right for that term. The free 7-day trial lets you evaluate the software fully before you buy. Nothing here affects your legal rights if the software is faulty or not as described (see clause 6). 5. Acceptable use
You agree to use ScreenSwytch only for its intended purpose — arranging display layouts on Windows devices — and not to use it unlawfully, in a way that infringes anyone's rights, or in a way that interferes with, overloads or attempts to circumvent our licensing, activation or hosting systems.
6. Our promises about the software
We'll provide ScreenSwytch with reasonable skill and care, and it will match the description on our website. If you're a consumer, you have statutory rights under the Consumer Rights Act 2015 that these terms do not affect. Beyond those rights, and to the extent the law allows, ScreenSwytch is provided "as is" and "as available": we don't guarantee it will be uninterrupted, error-free or fit for a purpose we haven't described, and you're responsible for making sure it suits your needs.
7. Our liability
We do not exclude or limit our liability where it would be unlawful to do so — including for death or personal injury caused by our negligence, or for fraud. Subject to that, and to any statutory rights you have as a consumer, we are not liable for loss of profit, revenue, business or data, or for indirect or consequential loss; and our total liability to you for any claim arising from these terms or your use of ScreenSwytch is limited to the fees you paid us in the twelve months before the claim.
8. Suspension and termination
You can stop using ScreenSwytch and let your subscription lapse at any time. We may suspend or end a licence if these terms are breached, if payment fails and remains unpaid after a reasonable period following notice, or where we must to protect the security or integrity of the service. When a licence ends, your right to use the software stops, but you keep access until the end of any term you've already paid for (except where we end it for your serious breach).
9. Intellectual property
We and our licensors own all intellectual property rights in ScreenSwytch and its documentation. Except for the licence we grant you above, no rights are transferred to you.
10. Data protection
How we handle personal data is explained in our Privacy Policy. Each of us will comply with applicable data protection law.
11. Changes to these terms
We may update these terms from time to time. Minor changes, or changes required by law, take effect on reasonable notice; any material change takes effect from your next renewal, and if you don't accept it you can choose not to renew. The "last updated" date above shows when they last changed.
12. Governing law
These terms are governed by the laws of England and Wales. If you're a consumer, you may bring proceedings in the courts of the UK nation where you live; otherwise the courts of England and Wales have exclusive jurisdiction.
